        Under and by virtue of the power of sale contained in a certain Indemnity Deed of Trust from Kaleka Holding, LLC to Sandra D. Feltman and Mary Beyer Halsey, Trustees, dated November 9, 2007, and recorded among the Land Records of Harford County, Maryland, in Liber 07613, folio 243, and pursuant to a Financing Statement from Renner Dental Management, LLC, Debtor to Cecil Bank, Secured Party (Creditor), recorded among the Financing Records of the Maryland State Department of Assessments and Taxation WO# 0001789240, ACK# 1000361998837755, File # 181381745, default having occurred under the terms thereof and at the request of the party secured thereby, the undersigned Trustees and Secured Party will sell at Public Auction, on the premises, the following:

Real Estate

        All that fee simple lot of ground and the improvements thereon, situate and lying in Harford County, State of Maryland and being more fully described in the above-referenced Deed of Trust.  The property is further described as follows:

Lot No. 1 as shown on a Plat entitled “Woland Dental Office,” as per Plat recorded among the Land Records of Harford County, Maryland in Plat Book 91 at Plat 60.

The improvements thereon being known as 122 N. Philadelphia Boulevard, Aberdeen, Maryland.  Tax Account No.  02-024535.

Being the same property conveyed by Deed dated November 5, 2002 and recorded in Liber 4535 at Folio 605.

        The improvements consist of a one story vinyl siding professional office building with front brick facade, composition shingle roof, aluminum casement windows, three exterior entrances, wheelchair ramp, and two-zone heat pump and central air conditioning.  Interior finishes are believed to be drywall, carpeting and vinyl flooring.  Lot size 100' x 200', comprising 20,000 square feet or 0.46 acre.  There are presently two curb cuts from U.S. Route 40.  The building is surrounded by an asphalt paved parking lot, lined for approximately twenty cars.  Published tax records indicate that the building was constructed in 1990, contains 3,000 square feet of gross building area and is located in a B2, Community Business District.  The building is currently occupied by a family dental practice.

Manner of Sale

        First Offering - the real estate will be offered and the bid reserved, Deposit $20,000.  Second Offering - the personal property will be offered and the bid reserved, Deposit $5,000.  Third Offering - the real estate and personal property will be offered as an entirety, Deposit $25,000.  The sale will me made in the manner producing the greater amount.

Terms of Sale

        Deposits, as stated above, payable by certified check or cashier's check, will be required of the purchaser at time and place of sale. 

        Real Estate or Entirety Sale - The deposit shall be increased to 10% of the purchase price within 24 hours at the Auctioneer’s Office.  The holder of the indebtedness, if a bidder at the sale, shall not be required to post a deposit. Balance to be paid in cash at settlement, which shall take place within ten (10) business days following final ratification of the sale by the Circuit Court for Harford County at the offices of the Solicitor captioned above.  If payment of the balance does not take place within the specified time, the deposit shall be forfeited and the property may be resold at the risk and expense of the purchaser.  Interest to be charged on the unpaid purchase money, at the rate stated in the Note executed in connection with the foreclosed Indemnity Deed of Trust, from date of sale to date of settlement.  If settlement is delayed for any reason, there will be no abatement of interest.  All adjustments as of date of sale.  Taxes and all other public charges and assessments payable on an annual basis, including sanitary and/or metropolitan district charges, if any, to be adjusted for the current year to date of sale and assumed thereafter by the purchaser.  The property will be sold in "AS IS" condition, without express or implied warranty as to the nature and description of the improvements as contained herein;  and subject to easements, agreements, restrictions or covenants of record affecting same, if any.  Purchaser shall be responsible for obtaining physical possession of the property and assumes the risk of loss or damage to the property from the date of sale forward.  The purchaser waives and releases the Trustees, the holder of the indebtedness, the Auctioneers, and their respective agents, successors and assigns from any and all claims the purchaser and/or its successors and assigns may now have or may have in the future relating to the condition of the property, including but not limited to the environmental condition thereof. If the Trustees are unable to convey good and marketable title, the purchaser's sole remedy in law or equity shall be limited to the refund of the deposit.  Upon refund of the deposit this sale shall be null and void and of no effect, and the purchaser shall have no further claim against the Trustees, the holder of the indebtedness or Auctioneers.  State and local recordation and transfer taxes and all other costs incident to settlement, including a $300 document review fee by the Seller’s attorney, to be paid by the purchaser. 

        Personal Property (if sold separately) - balance to be paid in cash or by certified funds within 24 hours; immediate removal required pursuant to pre-sale announcement.  The personal property is sold in “as is, where is” condition, free and clear of liens.  If the Trustees are unable to convey good and marketable title, the purchaser's sole remedy in law or equity shall be limited to the refund of the deposit for the personal property.

        Time shall be of the essence for all purchasers.
