Hollow Creek Golf Club was reportedly established and constructed in 2001, in the town of Middletown (a suburb of Frederick).  The $12,000,000 golf facility is located in the Glenbrook community, 3.3 miles south of I-70, bordering Old National Pike (ALT US-40), Middletown Parkway, Holter Road and Glenbrook Drive. "Glenbrook" is a Planned Unit Development (PUD), golf and residential community, located at the southwestern end of the town of Middletown.  Reportedly the community comprises a total of 344 attractive residences mostly constructed by NV Homes.  Approximately 204 of these homes are detached Colonial style residences ranging from 3,200 to 4,000 square feet.  The balance of the homes are three bedroom luxury townhomes.  Nearby are various commercial centers with retail stores, eateries, professional and service centers, etc.

The existing license is a 7-Day Class "C" Beer, Wine and Liquor License (License #11-CL-1165-CC), permitting the sale of beer, wine and liquor for consumption anywhere on the premises (indoor and outdoor) Monday through Saturday from 6:00 a.m. to 2:00 a.m. daily and on Sunday 11:00 a.m. to 2:00 a.m. The existing liquor license is not transferable.  Application for a new license must be made with the  Liquor Board for Frederick County.   The next application period begins May 1, 2015.  Application must be made within 30 days. The Liquor Board has indicated a strong willingness to work with the new owner and is confident that the same type of license can be granted (as long as the applicant meets all the necessary criteria).

Planned Unit Development - zoning district of the Town of Middletown.  By agreement, the property must be used as a golf course or the property may be reverted back to the town of Middletown.  Potential does exist for a portion of the property to be re-zoned along ALT US-40 for commercial development.   However, only preliminary discussions have been made with Frederick County and the town of Middletown.   The property is currently only zoned for it's current use.

All real and personal property will be sold as an entirety only.  The allocation of the purchase price of the real property and personal property will be made in a manner favorable and agreeable to the buyer and the seller after the completion of the sale.

A $100,000 deposit payable by certified check or cashier's check, will be required of the purchaser at time and place of sale. The deposit shall be increased to 10% of the purchase price within 72 hours at the Auctioneer's office.  Balance to be paid in cash within 60 days.  If payment of the balance of the deposit and balance of the purchase price does not take place within the specified time, the deposit will be forfeited and the property may be resold at the risk and expense of the defaulting purchaser. All adjustments, including taxes, all other public charges and assessments payable on an annual basis, and sanitary and/or metropolitan district charges, if any, to be adjusted for the current year to date of settlement and assumed thereafter by the purchaser.  The property will be sold in "AS IS" condition, and subject to easements, agreements, restrictions or covenants of record affecting same, if any.  Purchaser assumes the risk of loss from the date of sale forward.  The purchaser waives and releases the Seller and the Auctioneers, and their respective agents, successors and assigns from any and all claims the purchaser and/or its successors and assigns may now have or may have in the future relating to the condition of the properties, including but not limited to the environmental condition thereof. If the Sellers are unable to convey good and marketable title, the purchaser's sole remedy in law or equity shall be limited to the refund of the deposit.  Upon refund of the deposit this sale shall be null and void and of no effect, and the purchaser shall have no further claim against the Seller or Auctioneers.  Recordation costs, transfer taxes and all costs incidental to settlement to be paid by the purchaser.  Time is of the essence.  It shall be the sole responsibility of the purchaser to obtain a new liquor license.  Personal property is subject to 6% Maryland Retail Sales Tax. The purchaser acknowledges that the property must maintain continued use as a golf course facility or the property may revert back to the Town of Middletown.  Time is of the essence.  No buyer’s premium.  The real property and the tangible personal property shall be sold free and clear of all liens.

All real and tangible personal property on the premises owned by Klein Golf Associates LLC at the property on the date of this Contract will be assigned to Buyer on the date of settlement.  It is expressly understood that the golf carts, copy machine in the office and soda dispensing systems are not included as part of the tangible personal property.  In addition, no food or liquor inventory is included.

Seller will continue to maintain the golf course, buildings, furniture, fixtures and equipment in a commercially reasonable manner.  The fairways will be mowed three times per week, the greens will be cut every other day and the roughs will be mowed once per week.  Seller will apply one application of chemicals to the greens prior to settlement.
